Alcatel-Lucent Service Routing Certification (SRC) Program and
Confidentiality Agreement
PLEASE READ THIS AGREEMENT CAREFULLY. APPLYING TO ENROLL IN ANY SRC
COURSE AND/OR TAKING ANY SRC EXAM INDICATES YOUR ACKNOWLEDGMENT THAT YOU HAVE
READ THIS AGREEMENT AND ACCEPT ITS TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO
THESE TERMS, DO NOT APPLY TO ENROLL OR TAKE ANY SRC EXAM.
You agree, in consideration for, and as a prerequisite to, taking any
Alcatel-Lucent SRC course and/or exam, to the following terms and
conditions. If you are not in agreement with the following, you will not
be able to take Alcatel-Lucent SRC courses or exams:
1. Definitions
- “Service Routing Certification Program” or “SRC Program” means any service
routing certification program offered by Alcatel-Lucent now or in future, and
includes but is not limited to the Courses and Exams offered thereunder.
- “Certification” means Alcatel-Lucent conferring on you the designation of
being certified as having satisfied Alcatel-Lucent's then-current requirements
for a particular SRC Certification.
- “Course” means any Alcatel-Lucent SRC course.
- “Exam” means any Alcatel-Lucent SRC exam.
2. Confidentiality and Intellectual
Property
Confidentiality
You acknowledge that, as part of your participation in the Alcatel-Lucent
SRC Program, you will be exposed to certain confidential and/or proprietary
information and materials of Alcatel-Lucent, its affiliates, suppliers and
business partners (collectively the “Alcatel-Lucent Confidential
Information”). Alcatel-Lucent Confidential Information includes but is
not limited to: course materials, including content, diagrams, questions
& answers, lab activities; and exam materials, including content,
length, structure, style, questions and answers, diagrams, and worksheets.
You agree to: (i) protect the Alcatel-Lucent Confidential Information, (ii)
not use the Alcatel-Lucent Confidential Information except for your
participation in the SRC Program; (iii) not disclose the Alcatel-Lucent
Confidential Information to anyone else; and (iv) not reproduce the
Alcatel-Lucent Confidential Information.
Ownership
All rights, title and interest, including all intellectual and industrial
property rights, in and to any SRC Program information or materials, including
but not limited to: course materials, including content, diagrams, questions
& answers, lab activities; and exam materials, including content,
length, structure, style, questions and answers, diagrams, and worksheets,
shall remain vested in Alcatel-Lucent, its suppliers or licensors. You
may not copy, modify, or translate any SRC content.
3. Code of Conduct
You hereby certify that you are at least 18 years old. Anyone under
the age of 18 is not permitted to participate in any aspect of the SRC Program,
unless enrolled by their parent or legal guardian.
You will not at any time hinder or cause any disruption during the delivery
of any SRC class, or during the provision of any SRC exam. If you do so,
you acknowledge and agree that if required by Alcatel-Lucent or its agents, you
will immediately leave the class, exam and/or premises, in addition to the
other rights and remedies available to Alcatel-Lucent under this Agreement.
4. Privacy
As a participant in the SRC Program, you acknowledge and agree that your
personal information provided to Alcatel-Lucent for the SRC Program may be
shared with: Alcatel-Lucent offices globally, suppliers who are used to deliver
aspects of the SRC Program, in order to better provide the Program to you and
to others. In addition, Alcatel-Lucent may freely disclose to anyone who
requests, what Certifications you have achieved, and/or whether any
Certifications have been revoked. In addition, if you participate
in Alcatel-Lucent’s SRC Program as an employee of an organization, you agree
that Alcatel-Lucent may freely disclose to your employer any and all aspects of
your participation in the SRC Program, including exams, marks and other
information related to your involvement in the SRC Program.
5. Certification
To obtain an Alcatel-Lucent SRC Certification, an individual must complete
all of the then-current requirements of the particular Certification defined by
Alcatel-Lucent, which includes but is not limited to, passing all of the
required exams of the identified certification.
Alcatel-Lucent reserves the right to change any aspect of the SRC Program at
any time without prior notice. Changes can include but are not limited to:
adding or deleting Certifications from the Program, suggested course
prerequisites, exams, Certification requirements, courses, lab equipment, and
lab materials.
6. Certification Revocation; Termination of Participation
You acknowledge and agree that Alcatel-Lucent may immediately terminate,
without refund, your further participation in the Program, bar you from taking
any other Course, bar you from taking any other Exam, and/or revoke any of your
Certifications already obtained, at any time without prior notice if any of the
following are discovered:
- You did not meet, or do not continue to meet, the then-current
requirements for Certification;
- You obtained your Certification, or assisted others in obtaining
their Certification, in a dishonest, fraudulent and/or unethical manner;
- You compromised, or participated in the compromising of, any aspect
of the SRC Program; and/or
- You have breached, or assisted others in breaching, any other term or
condition of this Agreement.
7. General
This Agreement constitutes the entire agreement with respect to the SRC
Program and supersedes any other agreement or discussions, oral or written.
This Agreement may not be changed or waived except by a written amendment
signed by you and an authorized representative of Alcatel-Lucent. A waiver by
either party of any term or condition of this Agreement will not be deemed a
waiver of the term for the future, or of any subsequent breach of it.
The invalidity or unenforceability of any provision of this Agreement will
not affect the validity or enforceability of any other provision.
This Agreement shall be construed in accordance with the laws of the
Province of Ontario and the laws of Canada applicable therein, and shall be
treated in all respects as an Ontario contract. Any action, suit or
proceeding arising out of or relating to this Agreement shall be brought in the
courts of the Province of Ontario and each of the Parties hereby irrevocably
submits to the non-exclusive jurisdiction of such courts. The parties expressly
exclude the provisions of the United Nations Convention on Contracts for the
International Sale of Goods (the Vienna Convention, 1980), from the terms of
this Agreement. Each party waives any right and agrees not to have any
dispute under this Agreement tried or otherwise determined by a jury, except
where required by law. Les parties aux présentes confirment que c’est
leur volonté que cette convention de même que tous les documents, y compris les
avis s’y rattachant, soient rédigés en anglais seulement. The parties
hereto confirm that it is their wish that this Agreement as well as all other
documents relating thereto, including notices, have been and will be drawn up
in English only.
